Terms of Service

1. Who we are

These Terms of Service ("Terms") are a legal agreement between you ("Client", "you") and Waheed Zen LLC, a limited liability company organized under the laws of the State of Montana, United States, with its registered and mailing address at 1001 S Main St, Ste 500, Kalispell, MT 59901, United States ("Waheed Zen", "we", "us", "our").

By visiting waheedzen.com, submitting a form, purchasing a service, or accepting a proposal from us, you agree to these Terms.

2. Services

We provide digital marketing services and educational products, which may include search engine optimization, local search optimization, paid advertising management, website design and development, social media management, online courses, community membership, and mentoring.

The specific services you purchase, their deliverables, timeline, and price are set out in the written proposal, statement of work, order form, or checkout page you accept ("Order"). If an Order conflicts with these Terms, the Order controls for that engagement.

3. No guarantee of results

Search engine rankings, advertising performance, lead volume, and revenue depend on factors outside our control, including search engine algorithms, advertising platform policies, competitor behaviour, market conditions, your pricing, your sales process, and your service quality.

We do not guarantee any specific ranking, position, traffic volume, lead volume, conversion rate, revenue figure, or return on investment. Any figure we discuss is an estimate or a historical example, not a promise. You should not purchase our services in reliance on any projection.

4. Your responsibilities

You agree to:

• Provide accurate information about your business, licences, and service areas
• Provide timely access to accounts, assets, and approvals we need to do the work
• Own or hold valid licences for all content, images, logos, and materials you give us
• Comply with all laws and platform policies applicable to your business and advertising
• Respond to leads and enquiries we generate in a reasonable time
• Not ask us to perform work that violates search engine or advertising platform guidelines

Delays caused by your failure to provide access, content, or approvals do not extend the engagement term or entitle you to a refund.

5. Fees, billing, and automatic renewal

All fees are stated and payable in United States Dollars (USD).

Recurring services are billed monthly in advance on the same calendar day each month, automatically, to the payment method on file, until cancelled under Section 6.

Project services require a 50% deposit before work begins, with the balance due on delivery.

Advertising spend is not included in management fees and is paid by you directly to the advertising platform.

Your card or bank statement will show WAHEEDZEN or WAHEED ZEN LLC.

Applicable sales tax or VAT is added where legally required and shown before you complete payment.

We may suspend services on invoices more than 10 days overdue, after written notice to you.

You authorize us to charge your saved payment method for all recurring fees until you cancel. You may update or remove your payment method at any time by contacting billing@waheedzen.com.

Recurring charges are also governed by our Subscription and Auto-Renewal Terms.

6. Term, cancellation, and refunds

Initial engagement terms are stated in your Order (commonly 3 months for retainer services, 6 months for SEO and content). After the initial term the engagement continues month to month.

You may cancel at any time by emailing support@waheedzen.com or billing@waheedzen.com. Cancellation takes effect at the end of your current billing period. Refund eligibility is governed by our Refund and Cancellation Policy, which forms part of these Terms.

We may terminate an engagement with 30 days' written notice, or immediately if you breach these Terms, fail to pay, or ask us to do something unlawful or against platform policy.

7. Intellectual property

Content, websites, and creative assets we produce and that you have paid for in full become your property on full payment, except as stated below.

Our proprietary methods, templates, frameworks, internal tooling, course materials, and pre-existing works remain our property. You receive a non-exclusive licence to use them as part of the deliverable.

Any website, domain, or asset that we own and operate ourselves, rather than build for you under an Order, remains our property at all times.

Course and community materials are licensed to you personally and may not be shared, resold, or redistributed.

Third party software licences (themes, plugins, stock media, SaaS subscriptions) remain subject to their own terms.

8. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform or receive the services. This obligation survives termination for 3 years.

9. Data protection

Our handling of personal data is described in the Privacy Policy. Where we process personal data on your behalf as a service provider or processor, our Data Processing Addendum applies and is incorporated by reference.

10. Third party platforms

We use and integrate third party platforms, including but not limited to Google, Meta, Twilio, GoHighLevel, Skool, and Stripe, and hosting and analytics providers. We are not responsible for their availability, pricing, policy changes, or account decisions. If a platform suspends or restricts your account for reasons outside our control, we will help you respond, but we are not liable for the consequences.

11. Disclaimers

The services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We are not a law firm, accounting firm, or financial adviser. Nothing on this website or in our services is legal, tax, accounting, or investment advice.

12. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the services is limited to the total fees you paid us in the three (3) months immediately preceding the event giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business, or loss of goodwill, even if we were advised of the possibility.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

13. Indemnity

You will indemnify and hold harmless Waheed Zen LLC, its member, and its contractors from claims, damages, and reasonable legal costs arising from: content or materials you supplied; your breach of these Terms; your violation of law or platform policy; or claims that your products or services caused harm.

14. Dispute resolution

Before starting formal proceedings, both parties agree to attempt to resolve any dispute in good faith by contacting legal@waheedzen.com and allowing 30 days for resolution.

We ask that you contact us before filing a card dispute or chargeback. Filing a chargeback without first contacting us is a breach of these Terms and may result in immediate suspension of services and referral of the balance for collection.

15. Governing law and venue

These Terms are governed by the laws of the State of Montana, United States, without regard to conflict of law rules. The state and federal courts located in Flathead County, Montana have exclusive jurisdiction, and both parties consent to that venue.

16. Changes

We may update these Terms. Material changes will be posted here with a revised "Last updated" date and, for active clients, sent by email at least 14 days before taking effect. Continued use of the services after the effective date means you accept the change.

17. Miscellaneous

If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. These Terms plus your Order and the policies referenced here are the entire agreement between us.
